  9. 435.1 The Rule.

  14. In connection with mail order sales in commerce, as "commerce" is 
  15. defined  in the Federal Trade Commission Act, it  constitutes  an 
  16. unfair method of competition, and an unfair or deceptive act  and 
  17. practice for a seller:
  18.  
  19. (a)(1)  To  solicit any order for the sale of merchandise  to  be 
  20. ordered by the buyer through the mails unless, at the time of the 
  21. solicitation, the seller has a reasonable basis to expect that he 
  22. will  be able to ship any ordered merchandise to the buyer:   (i) 
  23. Within  that  time clearly and conspicuously stated in  any  such 
  24. solicitation,  or  (ii) if no time is clearly  and  conspicuously 
  25. stated,  within  thirty  (30) days after receipt  of  a  properly 
  26. completed order from the buyer.

  32. (2)  To  provide  any buyer with any revised  shipping  date,  as 
  33. provided  in paragraph (b) of this section, unless, at  the  time 
  34. any  such  revised shipping date is provided, the  seller  has  a 
  35. reasonable  basis  for  making such  representation  regarding  a 
  36. definite revised shipping date.

  38. (3) To inform any buyer that he is unable to make any 
  39. representation regarding the length of any delay unless (i) the 
  40. seller  has a reasonable basis for so informing the buyer and 
  41. (ii) the seller informs the buyer of the reason or reasons for 
  42. the delay.
  43.  
  44. (4) In any action brought by the Federal Trade Commission, 
  45. alleging a violation of this part, the failure of a  respondent-
  46. seller to  have records or other documentary proof establishing 
  47. his  use of  systems and procedures which assure the shipment of  
  48. merchandise  in  the ordinary course of business within  any  
  49. applicable time set forth in this part will create a rebuttable  
  50. presumption that the seller lacked a reasonable basis for any 
  51. expectation  of shipment within said applicable time.
  52.  
  53. (b)(1)  Where a seller is unable to ship merchandise  within  the 
  54. applicable  time set forth in paragraph (a) (1) of this  section, 
  55. to  fail  to offer to the buyer, clearly  and  conspicuously  and 
  56. without  prior demand, an option either to consent to a delay  in 
  57. shipping  or  to cancel his order and receive  a  prompt  refund.  
  58. Said  offer  shall  be made within a reasonable  time  after  the 
  59. seller  first becomes aware of his inability to ship  within  the 
  60. applicable  time set forth in paragraph (a)(1) of  this  section, 
  61. but in no event later than said applicable time.

  66. (i)  Any offer to the buyer of such an option shall fully  inform 
  67. the buyer regarding his right to cancel the order and to obtain a 
  68. prompt refund and shall provide a definite revised shipping date, 
  69. but  where  the seller lacks a reasonable basis for  providing  a 
  70. definite revised shipping date the notice shall inform the  buyer 
  71. that  the seller is unable to make any  representation  regarding 
  72. the length of the delay.

  74. (ii)  Where the seller has provided a definite  revised  shipping 
  75. date which is thirty (30) days or less later than the  applicable 
  76. time set forth in paragraph (a)(1) of this section, the offer  of 
  77. said  option  shall expressly inform the buyer that,  unless  the 
  78. seller receives, prior to shipment and prior to the expiration of 
  79. the  definite  revised shipping date, a response from  the  buyer 
  80. rejecting  the delay and canceling the order, the buyer will  be 
  81. deemed  to have consented to a delayed shipment on or before  the 
  82. definite revised shipping date.

  84. (iii)  Where the seller has provided a definite revised  shipping 
  85. date which is more than thirty (30) days later than the  
  86. applicable  time set forth in paragraph (a)(1) of this section or  
  87. where the seller is unable to provide a definite revised shipping  
  88. date and  therefore  informs the buyer that he is unable to  make  
  89. any representation  regarding the length of the delay, the  offer  
  90. of said option shall also expressly inform the buyer that his  
  91. order will  automatically be deemed to have been canceled  unless  
  92. (A) the seller has shipped the merchandise within thirty (30) 
  93. days of the  applicable time set forth in paragraph (a)(1) of  
  94. this  section, and has received no cancellation prior to 
  95. shipment, or  (B) the seller has received from the buyer within 
  96. thirty (30) days of said applicable time, a response specifically 
  97. consenting to  said shipping  delay.  Where the seller informs 
  98. the buyer that  he  is unable  to  make any representation 
  99. regarding the length  of  the delay,  the  buyer shall be 
  100. expressly informed  that,  should  he consent  to an indefinite 
  101. delay, he will have a continuing  right to  cancel  his order at 
  102. any time after the applicable  time  set forth  in  paragraph 
  103. (a)(1) of this section by so  notifying  the seller prior to 
  104. actual shipment.

  109. (iv)  Nothing in this paragraph shall prohibit a seller who  
  110. furnishes  a  definite revised shipping date pursuant  to  
  111. paragraph (b)(1)(i)  of this section, from requesting, 
  112. simultaneously  with or  at any time subsequent to the offer of 
  113. an option pursuant  to paragraph (b)(1) of this section, the 
  114. buyer's express consent  to a  further unanticipated delay beyond 
  115. the definite revised  shipping  date in the form of a response 
  116. from the buyer  specifically consenting to said further delay.  
  117. Provided, however, that  where the seller solicits consent to an 
  118. unanticipated indefinite  delay the solicitation shall expressly 
  119. inform the buyer that, should he so  consent  to an indefinite 
  120. delay, he shall have  a  continuing right to cancel his order at 
  121. any time after the definite  revised shipping  date by so 
  122. notifying the seller prior to  actual  shipment.
  123.  
  124. (2) Where a seller is unable to ship merchandise on or before the 
  125. definite revised shipping date provided under paragraph (b)(1)(i) 
  126. of  this section and consented to by the buyer pursuant to  
  127. paragraph  (b)(1)(ii) or (iii) of this section, to fail to  offer  
  128. to the buyer, clearly and conspicuously and without prior demand,  
  129. a renewed option either to consent to a further delay or to  
  130. cancel the  order and to receive a prompt refund.  Said offer  
  131. shall  be made  within  a reasonable time after the  seller  
  132. first  becomes aware  of his inability to ship before the said 
  133. definite  revised date,  but in no event later than the 
  134. expiration of the  definite revised shipping date:

  136. Provided, however, That where the seller previously has obtained 
  137. the buyer's express consent to an unanticipated delay until a 
  138. specific date beyond the definite revised shipping date, pursuant 
  139. to paragraph  (b)(1)(iv) of this section or to a further delay 
  140. until a specific date beyond the definite revised shipping date 
  141. pursuant to paragraph (b)(2) of this section, that date to which 
  142. the  buyer has expressly consented shall supersede the definite 
  143. revised shipping date for purposes of paragraph (b)(2) of this 
  144. section.

  146. (i)  Any offer to the buyer of said renewed option shall provide 
  147. the buyer with a new definite revised shipping date, but where 
  148. the seller lacks a reasonable basis for providing a new definite 
  149. revised shipping date, the notice shall inform the buyer that the 
  150. seller is unable to make any representation regarding the length 
  151. of the further delay.

  153. (ii) The offer of a renewed option shall expressly inform the 
  154. buyer that, unless the seller receives, prior to the expiration 
  155. of the old definite revised shipping date or any date superseding 
  156. the old definite revised shipping date, notification from the
